Guangdong Tannery Ltd has announced that Mr. Cheng Hok Lai James has resigned as an independent non-executive director of the company for personal reasons. His resignation took effect December 23, 2005. 
He has also ceased to be a member of the audit committee, the remuneration committee and the nomination committee of the company.
According to the rules governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, the board of directors must include at least three independent non-executive directors, which the company is now in breach of following Mr Cheng’s resignation. However, it has stated that this situation will be rectified within three months.
